1Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Consenivo, a brand of The Nelson M Group LLC ("Consenivo," "we," "us"). They govern your use of consenivo.com and related services, including email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. If you do not agree to them, you should not use the Services.

2What Consenivo is, and is not

Consenivo is an information service. We publish general, plain-language details about how clinical research works, how to read a study listing, what informed consent means, and which inquiries to ask a study team, and let visitors opt in to related updates. We do not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we will not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Consenivo, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We do not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

3Eligibility

You must be at least 18 years old, located in the United States, and able to form a binding contract to use the Services. You may only submit information about yourself, or about another person who has authorized you to do so.

4Your information and accuracy

Please keep the details you give us correct and current. Enter a mobile number only if you own it or are authorized to use it. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

5Communications and text-message consent

By opting in, you agree that we may reach you by email and, where you check the relevant boxes, by automated text messages as set out in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. 7Acceptable use

In using the Services you agree that you will not (a) supply false, misleading, or someone else's information, (b) engage in unlawful, fraudulent, or abusive conduct, (c) interfere with, disrupt, or try to gain unauthorized access to the Services, (d) use bots or automated methods to submit forms, (e) copy, scrape, or resell our content without permission, or (f) impersonate any person or entity. We may suspend or end access for violations.

8Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (for example government agencies, hospitals, or patient organizations) belong to third parties. We endorse no product, plan, or provider, and we take no responsibility for the conduct, content, or outcomes of any third party. Your relationship with any doctor or study team is between you and them.

9Intellectual property

The Services, including the Consenivo name, logo, text, graphics, and design, are our property or that of our licensors, and intellectual property laws protect them. The license we grant you to view and use the Services is limited, revocable, non-exclusive, non-transferable, and for personal, non-commercial use. The Site's photographs are used under free-use licenses.

10Disclaimers

The services and content come "as is" and "as available," without express or implied warranties like merchantability, fitness for a particular purpose, accuracy, and non-infringement. We cannot warrant that the services will be uninterrupted, error-free, or secure, nor that a message will be delivered or delivered on time.

Consenivo does not offer financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

11Limitation of liability

Where the law permits, Consenivo and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

In jurisdictions that do not allow certain limitations, those limitations may not apply to you. These Terms never limit liability that the law says cannot be limited.

12Indemnification

You shall indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel from all claims, damages, and expenses (such as reasonable attorneys' fees) arising from violating these Terms, misusing the Services, or providing a phone number or other data without authorization.

13Disputes, governing law, and arbitration

Informal resolution first. Before taking a dispute further, email us at [email protected] and let us try to resolve it within 30 days.

Binding arbitration. Except for small-claims matters and claims for injunctive relief for intellectual-property misuse, any dispute between you and Consenivo or The Nelson M Group LLC arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in your county of residence or by video or phone, at your choice. The arbitrator may award the same individual relief as a court, and judgment can be entered in any court of competent jurisdiction.

Class-action waiver. As permitted by law, each of us, you and Consenivo, will bring claims only on an individual basis, and not as a plaintiff or class member in any class, collective, or representative proceeding.

Opt-out. You can opt out of arbitration within 30 days of your first acceptance of these Terms by emailing [email protected] with the subject "Arbitration Opt-Out" and your name and mobile number.

Governing law. We interpret these Terms under the Federal Arbitration Act and the laws of the state where The Nelson M Group LLC has its principal place of business, ignoring conflict-of-law rules. The state and federal courts located there have exclusive jurisdiction, under the arbitration clause.

14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. We may suspend or terminate access at our discretion, including for violations of these Terms. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and disputes) will survive termination.

15Changes

These Terms may change from time to time. Any new version will be posted with a new "Last updated" date, and continuing to use the Services after its effective date means you accept it. Where the law requires notification of material updates, we will give it.

16General

These Terms, together with the Privacy Policy and SMS Terms, are the entire agreement between you and us on this subject. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, and we may assign them in connection with a merger or sale of the business.
